Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Speakeasy Coding ("Speakeasy," "we," "us"). By creating an account, connecting a platform, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1Eligibility
You must be at least 13 years old to use the Service, and at least 18 (or the age of majority where you live) to purchase a paid plan. If you use the Service for an organization, you represent you have authority to bind it to these Terms.
2The Service
Speakeasy provides streaming tools — AMI, CLIP'D, overlays, the feed, and related features — that connect to third-party platforms you authorize. We may add, modify, suspend, or discontinue any part of the Service at any time.
3Your account & security
You are responsible for your account, for safeguarding your credentials, and for all activity under your account. Provide accurate information, keep it current, and notify us of any unauthorized use.
4Acceptable use
You agree not to, and not to help anyone else:
- use the Service for anything unlawful, infringing, defamatory, harassing, hateful, or abusive;
- upload or publish content you do not have the rights to, or that violates anyone's privacy, publicity, or intellectual-property rights;
- scrape, crawl, reverse-engineer, decompile, interfere with, overload, or attempt to gain unauthorized access to the Service;
- circumvent usage limits, security, or access controls;
- use the Service to violate the terms or policies of any connected platform (Twitch, Kick, YouTube, etc.) — you remain solely responsible for your compliance with theirs;
- resell, sublicense, or misrepresent the Service as your own.
We may investigate and take any action we consider appropriate for a violation, including removing content and suspending or terminating accounts.
5Your content & the license you grant us
You keep ownership of the content you create or upload ("Your Content"). To run the Service, you grant Speakeasy a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display Your Content. If you publish a clip to the Speakeasy feed, you additionally grant us a license to distribute, promote, and publicly display that clip within and in promotion of the Service until you delete it.
You represent and warrant that you have all rights necessary to grant these licenses and that Your Content does not infringe any third party's rights or any law. You are solely responsible for Your Content.
6Feedback
If you send us ideas, suggestions, or feedback, you grant us an unrestricted, royalty-free right to use them without obligation or compensation to you.
7Our intellectual property
The Speakeasy Coding name, logo, the watermark, the software, and all related IP are owned by Speakeasy and protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. Clips created with CLIP'D may carry the Speakeasy watermark, and you agree not to remove, obscure, or alter it. All rights not expressly granted are reserved.
8Beta features & confidentiality
Some features are offered as tests and may change, break, or be withdrawn. Non-public information about the Service — including unreleased features, roadmaps, and how the tools work — is confidential, and you agree not to disclose it. Testers may be required to sign a separate confidentiality agreement (NDA), which supplements these Terms.
9Third-party platforms
Speakeasy is not affiliated with, endorsed by, or sponsored by Twitch, Kick, Blaze, Velora, YouTube, X, Google, or any other platform. Your use of those platforms is governed by their own terms, and we are not responsible for their acts, outages, or decisions (including suspending your account or changing their APIs).
10Subscriptions & payments
Some features may require a paid plan. When you purchase one, the price, billing period, and any applicable renewal and refund terms are shown at checkout before you pay. Paid plans are billed in advance through our third-party payment processor and renew automatically until you cancel; you can cancel at any time from your account settings, and cancellation stops future renewals. Taxes may apply, and non-payment may result in suspension.
11Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, that AMI's outputs will be accurate, or that any content will perform, "go viral," or achieve any result. AMI outputs are automated and are not professional advice.
12Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAKEASY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR REVENUE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.
13Indemnification
You agree to defend, indemnify, and hold harmless Speakeasy and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
14Copyright & DMCA
We respond to valid takedown notices. If you believe content on the Service infringes your copyright, send a notice with the DMCA-required information to our designated agent at [email protected]. We may remove infringing content and terminate repeat infringers.
15Termination
You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, for any violation of these Terms or to protect the Service or others. Provisions that by their nature should survive (including §§5–7 and 11–17) survive termination.
16Dispute resolution
We will try to resolve disputes informally first — please contact us before filing a claim. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in New York, and you consent to their jurisdiction.
17Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.
18Changes to these Terms
We may update these Terms; we will post the new "last updated" date and, for material changes, provide reasonable notice. Continued use after an update means you accept it.
19General
We may assign these Terms; you may not assign them without our consent. If any provision is unenforceable, the rest remain in effect. These Terms are the entire agreement about the Service and supersede prior agreements. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control.
